Acknowledgment

These are the Terms and Conditions governing the use of MokuBot - AI Agent for NetSuite ("MokuBot"), a Google Chrome browser extension developed and operated by the Company. MokuBot enhances your NetSuite experience by providing AI-powered assistance directly within your browser. By installing, accessing, or using MokuBot, You agree to be bound by these Terms and Conditions. If You disagree with any part of these Terms and Conditions, You must uninstall the Extension and may not use the Service.

You represent that you are over the age of 18. The Company does not permit those under 18 to use the Service.

Early Access Product

MokuBot is currently in early access development. Features, pricing, functionality, and these Terms may change without notice. By using the Extension, you acknowledge and accept this dynamic development environment.

Definitions

Account - A unique account created for You to access the Service and manage Your subscription.

Authorized Users - Individuals authorized by You to use the Service under Your Account.

Company - MokuHub LLC, 0105, Georgia, Tbilisi, Chugureti district, Mikheil Tsinamdzgvrishvili street, N 52, attic.

Customer Data - All data that You or Your Authorized Users submit to the Service, including any NetSuite data accessed or processed through the Extension.

Extension - The MokuBot Google Chrome browser extension that is installed from the Chrome Web Store and operates within the Google Chrome browser.

NetSuite Instance - Your Oracle NetSuite environment that the Extension interacts with when You are logged in.

AI Output - Any text, suggestions, recommendations, code snippets, or other content generated by the AI capabilities of the Service.

Service - The MokuBot AI Agent for NetSuite, including the Chrome Extension, the companion website, backend APIs, and all associated services that together provide AI-powered assistance for NetSuite users.

Subscription - The selected service tier that determines features, usage limits, and pricing.

Service Description

MokuBot is a Google Chrome Extension that serves as an AI-powered agent for Oracle NetSuite users. The Extension operates directly within your Chrome browser while you work in NetSuite, providing:

  • Context-aware AI assistance for navigating and working within NetSuite
  • Intelligent suggestions and recommendations based on the current NetSuite page and context
  • Conversational AI chat interface for asking questions about NetSuite features, records, and workflows
  • Assistance with SuiteScript development, saved searches, formulas, and NetSuite customization
  • Quick access to relevant NetSuite documentation and best practices
  • Workflow automation suggestions and guidance

Early Access: MokuBot is in active development. Features listed above may be incomplete, under development, or subject to modification. Some features may be added or removed without prior notice during the early access phase.

Chrome Extension Terms

Installation & Distribution

MokuBot is distributed exclusively through the Google Chrome Web Store. By installing the Extension, You also agree to the Google Chrome Web Store Terms of Service. The Extension requires the Google Chrome browser to operate.

Extension Permissions

By installing the Extension, you grant MokuBot the following browser permissions:

  • Access to NetSuite pages: The Extension reads content from your active NetSuite tabs to understand context and provide relevant AI assistance
  • Active tab access: To detect when you are on a NetSuite page and activate the agent accordingly
  • Storage: To save your preferences, conversation history, and cached data locally in your browser
  • Network requests: To communicate with our backend AI services and retrieve relevant information

NetSuite Data Interaction

When you use MokuBot while working in NetSuite:

  • The Extension may read page content from your active NetSuite tab to understand context
  • Page content and your queries are sent to our servers for AI processing
  • The Extension does not modify, create, or delete any records in your NetSuite instance unless you explicitly initiate such an action
  • The Extension does not store your NetSuite credentials; authentication with NetSuite remains entirely within your browser session

Updates

The Extension may be automatically updated through the Chrome Web Store. Updates may add, modify, or remove features. Continued use of the Extension after an update constitutes acceptance of any changes.

AI Output & Responsibility

Important: AI-Generated Content

MokuBot uses artificial intelligence to generate responses. AI Output may be inaccurate, incomplete, or inappropriate for your specific situation. You must always independently verify any AI Output before relying on it.

By using MokuBot, you acknowledge and agree that:

  • AI Output is provided for informational and assistive purposes only and does not constitute professional, legal, financial, or technical advice
  • You are solely responsible for reviewing, validating, and testing any AI Output before applying it to your NetSuite instance
  • AI Output, including SuiteScript code suggestions, saved search formulas, and workflow configurations, may contain errors and should be thoroughly tested before deployment
  • The Company is not responsible for any consequences arising from your reliance on AI Output
  • AI models may produce different results for the same query at different times
  • Your prompts and NetSuite page context may be processed by third-party AI providers as described in the Third-Party Services section

User Obligations

By using MokuBot, you agree to:

  • Provide accurate and complete information when registering
  • Maintain the security of your Account credentials
  • Use the Service in compliance with applicable laws and regulations
  • Respect intellectual property rights, including Oracle NetSuite's intellectual property
  • Not use MokuBot to extract, scrape, or bulk-download data from NetSuite in violation of your NetSuite license agreement
  • Not interfere with or disrupt the Service or attempt reverse-engineering of the Extension
  • Not attempt to gain unauthorized access to our systems
  • Ensure that your use of MokuBot complies with your organization's NetSuite license terms
  • Not use MokuBot to process or transmit sensitive personal data (e.g., credit card numbers, social security numbers) through the AI chat
  • Ensure Your Authorized Users comply with these Terms
  • Not exceed the usage limits of Your Subscription

Subscription Terms

Service Tiers

Free Tier

Basic features with limited users on shared infrastructure

Professional Tier

Full features with increased user limits and priority support

Enterprise Tier

Dedicated resources, custom SLAs, premium support

Note: Pricing and features are subject to change. During early access, pricing models may be adjusted without prior notice.

Billing

  • Subscriptions may be billed monthly or annually as selected
  • Refunds are governed by our Refund Policy
  • We reserve the right to modify pricing at any time during early access
  • For established subscriptions, we will provide at least 30 days notice of material pricing changes
  • Failure to pay may result in immediate service suspension

Data Ownership & Usage

Your Data

You retain ownership of all Customer Data. We do not claim any ownership rights to Your NetSuite data or any content you submit through MokuBot.

How We Process Your Data

When you use MokuBot, the following data may be processed:

  • Your chat messages and queries sent to the AI agent
  • NetSuite page context (e.g., current record type, field values visible on the page) to provide contextual assistance
  • Your Extension preferences and settings
  • Usage analytics to improve the Service

By using the Service, You grant us a limited, non-exclusive license to process, store, and transmit this data solely for providing the Service to You.

Data Retention

Conversation history and usage data are retained in accordance with our Privacy Policy. You may request deletion of your data at any time by contacting us at legal@mokuhub.com.

Third-Party Services

The Service relies on and integrates with the following third-party providers:

  • Google Chrome / Chrome Web Store: For Extension distribution, installation, and browser runtime environment
  • Oracle NetSuite: MokuBot is designed to work alongside your NetSuite instance; you must have a valid NetSuite license to use the Extension
  • OpenAI / AI Providers: Your queries and page context are sent to AI model providers for generating responses; these providers may process your data according to their own terms
  • Amazon Web Services (AWS): For cloud infrastructure, backend services, and data storage

Your use of these integrated services is subject to their respective terms and privacy policies. The Company has no control over third-party services. MokuBot is not affiliated with, endorsed by, or officially connected to Oracle Corporation or NetSuite.

Early Access & Beta Terms

Early Access Platform Notice

MokuBot AI Agent for NetSuite is currently in early access development. The entire platform and all features may be incomplete, unstable, or subject to significant changes without notice.

By using the early access Service, you acknowledge and agree that:

  • Features are provided "as-is" and may not function as described or expected
  • Features may be modified, discontinued, or removed at any time without notice or liability
  • Data loss may occur; you are responsible for maintaining backups
  • Service availability and performance are not guaranteed
  • Support may be limited or unavailable during early access
  • Bugs, errors, and security vulnerabilities may exist
  • The platform should not be used for mission-critical operations during early access

You assume all risks associated with using an early access platform. The Company shall have no liability for any issues arising from the developmental state of the Service.

Service Availability

We do not guarantee any level of service availability or uptime, particularly during the early access phase. The Service may experience:

  • Frequent or extended downtime without notice
  • Planned and unplanned maintenance windows
  • System updates that may disrupt service
  • Performance degradation or slowdowns
  • Complete service unavailability at any time

For Enterprise customers, specific uptime commitments may be included in a separate Service Level Agreement (SLA), subject to availability and Company approval.

Termination

Termination by You

You may terminate Your Account at any time by canceling Your Subscription or contacting us at legal@mokuhub.com.

Termination by Company

We may terminate or suspend Your access immediately if You breach these Terms or fail to pay applicable fees.

Effect of Termination

  • Your right to use the Service will cease immediately
  • You will have 30 days to export Your Customer Data
  • After 30 days, Your Customer Data will be permanently deleted
  • Any outstanding fees become immediately due

Limitation of Liability

To the maximum extent permitted by law, the entire liability of the Company shall be limited to the greater of:

  • The amount actually paid by You during the twelve (12) months preceding the claim, or
  • 100 USD if You haven't purchased anything through the Service

The Company shall not be liable for any special, incidental, indirect, or consequential damages including, but not limited to:

  • Loss of profits, revenue, or business opportunities
  • Loss, corruption, or unauthorized access to data
  • Business interruption or operational downtime
  • Costs of procurement of substitute services
  • Any damages arising from early access use, bugs, errors, or service unavailability
  • Any damages resulting from reliance on AI Output, including but not limited to incorrect SuiteScript code, faulty saved search formulas, or incorrect workflow configurations applied to your NetSuite instance
  • Reliance on the Service for mission-critical operations
  • Any damages caused by third-party services or integrations
  • Any damages to your NetSuite instance or data resulting from actions you take based on MokuBot suggestions

This limitation applies regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise), even if the Company has been advised of the possibility of such damages.

"AS IS" and "AS AVAILABLE" Disclaimer

The Service is provided "AS IS" and "AS AVAILABLE" with all faults and without warranty of any kind. To the maximum extent permitted by law, the Company expressly disclaims all warranties, express, implied, statutory, or otherwise, including but not limited to:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Any warranty that the Service will meet your requirements or be error-free
  • Any warranty of uninterrupted, timely, secure, or available service
  • Any warranty regarding the accuracy, reliability, or completeness of AI Output, including code suggestions, workflow guidance, or NetSuite configuration recommendations
  • Any warranty that defects will be corrected
  • Any warranty that AI Output will be correct, complete, up-to-date, or suitable for your particular NetSuite configuration
  • Any warranty of compatibility with all NetSuite versions, editions, or customizations
  • Any warranty regarding data backup, recovery, or preservation

You acknowledge that use of an early access platform carries inherent risks and you assume all such risks. No oral or written information or advice given by the Company shall create any warranty.

Governing Law

The laws of Georgia, excluding its conflicts of law rules, shall govern these Terms and Your use of the Service.

Disputes Resolution

If You have any concern or dispute, You agree to first try to resolve it informally by contacting us at legal@mokuhub.com. If informal resolution is unsuccessful within 30 days, disputes shall be resolved through binding arbitration in accordance with the rules of the Georgian International Arbitration Centre.

Changes to These Terms

We reserve the right to modify or replace these Terms at any time. Material revisions will be communicated with at least 30 days' notice. By continuing to use the Service after revisions become effective, You agree to be bound by the revised terms.
