End-User License Agreement

Please read this End-User License Agreement carefully before clicking the "I Agree" button, downloading, or using MokuField.

Interpretation and Definitions

Interpretation

The words whose initial letters are capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or in plural.

Definitions

Account - A unique account created for You or Your organization to access our Service and manage Your subscription.

Agreement - This End-User License Agreement that forms the entire agreement between You and the Company regarding the use of the Application.

Application - The MokuField field service management platform, including the web application accessible at mokufield.com and tenant subdomains, the mobile application, and all associated APIs.

Authorized Users - Individuals authorized by You to use the Service under Your Account.

Company - MokuHub LLC, 0105, Georgia, Tbilisi, Chugureti district, Mikheil Tsinamdzgvrishvili street, N 52, attic.

Content - Text, images, work order data, customer information, location data, photos, signatures, or other information that can be posted or uploaded by You.

Customer Data - All data that You or Your Authorized Users submit to the Application.

Field Worker - An Authorized User who uses the mobile Application to perform field service tasks.

Service - The MokuField field service management platform.

Subscription - The selected service tier (Free, Professional, or Enterprise) that determines features, limits, and pricing.

Tenant - An isolated workspace within the multi-tenant architecture where Your organization's data is securely separated.

Acknowledgment

By clicking the "I Agree" button, downloading, or using the Application, You are agreeing to be bound by the terms and conditions of this Agreement. If You do not agree to the terms of this Agreement, do not click on the "I Agree" button, do not download or do not use the Application.

This Agreement is a legal document between You and the Company and it governs Your use of the Application made available to You by the Company.

The Application is licensed, not sold, to You by the Company for use strictly in accordance with the terms of this Agreement.

Early Access Software Warning

This Application is in early access development and should be considered BETA software. By using this Application, you acknowledge that features may be incomplete, unstable, change without notice, or be discontinued entirely. You assume all risks associated with early access software use.

License

Scope of License

The Company grants You a revocable, non-exclusive, non-transferable, limited license to download, install, and use the Application strictly in accordance with the terms of this Agreement and Your Subscription.

Commercial Use

Subject to the terms of this Agreement, You are permitted to use the Application for commercial and business purposes, including:

  • Managing field service operations for Your organization
  • Scheduling and dispatching work orders to Field Workers
  • Tracking work order status and field worker locations
  • Managing customer relationships and service locations
  • Generating reports and analytics for Your business operations

License Restrictions

You shall not:

  • Copy, modify, or distribute the Application except as expressly permitted
  • Reverse engineer, decompile, or disassemble the Application
  • Rent, lease, lend, sell, or sublicense the Application
  • Use the Application to provide services to third parties (service bureau use) unless expressly permitted
  • Remove or alter any proprietary notices or labels
  • Use the Application in any way that violates applicable laws
  • Attempt to gain unauthorized access to the Application or its related systems
  • Exceed the usage limits specified in Your Subscription

Subscription Tiers

Free Tier

Limited access with basic work order management features, limited Authorized Users, shared infrastructure, and standard support.

Professional Tier

Enhanced access with full features, increased user limits, priority support, and advanced reporting.

Enterprise Tier

Premium access with all Professional features, dedicated infrastructure, custom integrations, dedicated account management, and SLA with uptime guarantees.

Pricing Notice: Subscription pricing and feature availability are subject to change at any time during early access development. Current pricing, if available, can be found at mokufield.com/pricing. Features listed for each tier may not yet be fully implemented.

Multi-Tenant Architecture and Data Isolation

Tenant Isolation

The Application operates on a multi-tenant architecture where Your data is logically isolated from other customers through:

  • Dedicated database schemas with row-level security
  • Tenant-specific subdomain routing ({your-account}.mokufield.com)
  • Automatic tenant context enforcement on all data operations

We maintain strict data isolation between Tenants. Your Customer Data will not be accessible to other Tenants, and we implement technical measures to prevent cross-tenant data access.

Mobile Application Permissions

Required Permissions

The mobile Application requires certain device permissions to function properly:

  • Location Services (GPS): To track Field Worker locations for dispatch optimization, route planning, and work order verification. Location data is collected while the app is in use and may be collected in the background for active work orders.
  • Camera: To capture photos for work order documentation, proof of completion, and issue reporting.
  • Storage: To store offline data, cached work orders, and captured media for later synchronization.
  • Push Notifications: To receive real-time updates about work order assignments, schedule changes, and system alerts.

Offline Functionality

The mobile Application supports offline operation. Data created or modified while offline is stored locally on the Device and synchronized with the server when connectivity is restored. In case of conflicts, the Application applies conflict resolution rules, and You will be notified of any data conflicts that require manual resolution.

Customer Data Ownership and Rights

Your Data

You retain all ownership rights to Your Customer Data. We do not claim ownership of any data You submit to the Application.

License to Use Your Data

By using the Application, You grant us a limited license to process, store, and transmit Your Customer Data solely for the purpose of providing the Service to You.

Data Export

You may export Your Customer Data at any time through the Application's export features. Upon termination of Your Account, You will have 30 days to export Your data before it is permanently deleted.

Data Processing

We process Your Customer Data in accordance with our Privacy Policy available at mokuhub.com/en/privacy-policy. For customers subject to GDPR, we offer a Data Processing Agreement upon request.

Third-Party Services

The Application integrates with and relies upon the following third-party services:

Google Maps: For mapping, geocoding, route optimization, and location-based services. Your use of mapping features is subject to Google's Terms of Service.

Brevo: For email communications, notifications, and marketing communications (with Your consent).

Amazon Web Services (AWS): For cloud infrastructure, data storage, and processing. Data may be stored in AWS data centers.

OVH: For additional hosting and infrastructure services.

You acknowledge and agree that the Company shall not be responsible for any Third-Party Services. You must comply with applicable Third Parties' Terms of agreement when using the Application.

Term and Termination

Term

This Agreement shall remain in effect for the duration of Your Subscription or until terminated as provided herein.

Termination by You

You may terminate this Agreement at any time by canceling Your Subscription, deleting Your Account, or contacting us at legal@mokuhub.com.

Termination by Company

The Company may terminate or suspend Your access immediately if You breach this Agreement or fail to pay applicable fees, or with 30 days notice for any other reason.

Effect of Termination

Upon termination:

  • Your right to use the Application will cease immediately
  • You will have 30 days to export Your Customer Data
  • After 30 days, Your Customer Data will be permanently deleted
  • Any outstanding fees become immediately due and payable

Indemnification

You agree to indemnify and hold the Company and its parents, subsidiaries, affiliates, officers, employees, agents, partners, and licensors harmless from any claim or demand, including reasonable attorneys' fees, due to or arising out of:

  • Your use of the Application
  • Your Customer Data or Content
  • Your violation of this Agreement or any law or regulation
  • Your violation of any right of a third party
  • Actions of Your Authorized Users

No Warranties

The Application is provided to You "AS IS" and "AS AVAILABLE" with ALL FAULTS AND DEFECTS and WITHOUT WARRANTY OF ANY KIND.

To the maximum extent permitted under applicable law, the Company on its own behalf and on behalf of its affiliates and licensors expressly disclaims ALL warranties, whether express, implied, statutory, or otherwise, with respect to the Application, including:

  • All implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement
  • Warranties that may arise out of course of dealing, course of performance, usage, or trade practice
  • Any warranty that the Application will meet Your requirements or achieve any intended results
  • Any warranty of compatibility with other software, systems, services, or devices
  • Any warranty of uninterrupted, timely, secure, or error-free operation
  • Any warranty that defects or errors can or will be corrected
  • Any warranty regarding the accuracy, completeness, or reliability of results, information, or content
  • Any warranty that the Application or servers are free of viruses or harmful components
  • Any warranty regarding GPS accuracy, location tracking, navigation, or geofencing features
  • Any warranty regarding offline synchronization, data preservation, or backup reliability
  • Any warranty regarding security, data protection, or prevention of unauthorized access
  • Any warranty that Customer Data will not be lost, corrupted, or compromised

Critical Early Access Warning

As early access software, the Application is under active development and inherently unstable. You expressly acknowledge and agree that:

  • Features may fail, malfunction, or produce incorrect results
  • Data loss, corruption, or unauthorized access may occur at any time
  • The Application should NOT be used for mission-critical business operations
  • You are solely responsible for maintaining independent backups of all data
  • The Company has no obligation to fix bugs, restore data, or maintain any feature

Some jurisdictions do not allow the exclusion of certain types of warranties or limitations on applicable statutory rights, so some or all of the above exclusions and limitations may not apply to You. However, in such cases, the exclusions and limitations shall be enforced to the maximum extent permitted by law.

Without limiting the foregoing, neither the Company nor any of the Company's providers makes any representation or warranty of any kind that the Application will be suitable for production use, business operations, or mission-critical purposes during the early access period.

Limitation of Liability

Notwithstanding any damages that You might incur, the ENTIRE LIABILITY of the Company and any of its suppliers under any provision of this Agreement and Your EXCLUSIVE REMEDY for all of the foregoing shall be limited to the LESSER of:

  • The amount actually paid by You for the Application during the three (3) months immediately preceding the claim, OR
  • 100 USD

To the MAXIMUM extent permitted by applicable law, in NO EVENT shall the Company or its suppliers be liable for ANY special, incidental, indirect, punitive, or consequential damages WHATSOEVER, including but not limited to:

  • Loss of profits, revenue, income, or business opportunities
  • Loss, corruption, deletion, or unauthorized access to data or Customer Data
  • Cost of procurement of substitute goods or services
  • Business interruption, operational downtime, or lost productivity
  • Loss of business information, goodwill, or reputation
  • Personal injury, emotional distress, or loss of privacy
  • Failure to meet regulatory or compliance requirements
  • Damages arising from reliance on the Application for business operations
  • Damages arising from bugs, errors, defects, or malfunction
  • Damages arising from data loss, corruption, or failed synchronization
  • Damages arising from GPS inaccuracy, navigation errors, or location tracking failures
  • Damages arising from service unavailability, downtime, or performance issues
  • Damages arising from security breaches, unauthorized access, or data compromise
  • Damages arising from integration failures or third-party service issues
  • Any other damages, losses, or injuries whatsoever

This limitation of liability applies REGARDLESS of:

  • The legal theory of liability (contract, tort, negligence, strict liability, or otherwise)
  • Whether the Company was advised or had reason to know of the possibility of such damages
  • Whether the remedy fails of its essential purpose
  • Whether damages were foreseeable

Some states/jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to You in their entirety, but will be enforced to the maximum extent permitted by law.

Early Access Acknowledgment: You explicitly acknowledge that using early access software for business operations carries significant risks and that the Company shall have ZERO liability for damages arising from such use.

Severability and Waiver

Severability

If any provision of this Agreement is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

Waiver

The failure to exercise a right or to require performance of an obligation under this Agreement shall not affect a party's ability to exercise such right or require such performance at any time thereafter nor shall the waiver of a breach constitute a waiver of any subsequent breach.

United States Legal Compliance

You represent and warrant that (i) You are not located in a country that is subject to the United States government embargo, or that has been designated by the United States government as a "terrorist supporting" country, and (ii) You are not listed on any United States government list of prohibited or restricted parties.

Changes to this Agreement

The Company reserves the right, at its sole discretion, to modify or replace this Agreement at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.

By continuing to access or use the Application after any revisions become effective, You agree to be bound by the revised terms. If You do not agree to the new terms, You are no longer authorized to use the Application.

Governing Law

The laws of Georgia, excluding its conflicts of law rules, shall govern this Agreement and Your use of the Application. Your use of the Application may also be subject to other local, state, national, or international laws.

Dispute Resolution

If You have any concern or dispute about the Application, You agree to first try to resolve the dispute informally by contacting the Company at legal@mokuhub.com. If informal resolution is not successful within 30 days, either party may pursue formal dispute resolution.

Entire Agreement

This Agreement, together with our Privacy Policy and Terms of Service, constitutes the entire agreement between You and the Company regarding Your use of the Application and supersedes all prior and contemporaneous written or oral agreements.
